Beijing ChanceOL Network Tech Co.,Ltd and ChanceOL.com website (which is identified by the uniform resource locator www.chanceol.com) will provide you with the services in accordance with the following terms and conditions of the Agreement, PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY before you use the website.

        1. Acceptance of Terms and Conditions
        By accessing, viewing, posting, using, uploading or downloading materials from ChanceOL.com Website, it means that you agree and accept all the terms and conditions of the Agreement, and you agree to be bound by these terms of conditions. If you do not agree with these terms of use, you do not use the Websites.
        ChanceOL.com will reserve the right to modify the Terms of Use at any time. Any changes on the Terms of Use will be released on the prominent position of our site for keeping you updated timely. If you do not agree the changes, please stop using the service. Once the updated terms are released on the website, they become effective at once.

2. The object of the website service
ChanceOL.com just provides its services to the entity which can make a contract enforced by law in accordance with the related laws, such as corporations, other business entities, government organizations, etc. Please do not use the website service if you are not true of this term.

        3. Use of ChanceOL.com website
        3.1 Buyer
        If you meet the conditions in Terms No.2, and follow the requirements of the Website to register with ChanceOL.com as a registered Buyer Member, you can open your RFQs(Request For Quotes) on the website free of charge. Hereon we ask you to follow the requirements of the website to submit the real and exact project information and RFQs to ChanceOL.com. If we found that you submitted the false information or RFQs to the website purposely, ChanceOL.com reserves the right to suspend or terminate your membership and your data immediately, and forbid you using the website service in any way now and future.
        3.2 Supplier
        If you meet the conditions in Terms No.2, and follow the requirements of the Website to register with ChanceOL.com as a registered Supplier Member, after you paying the membership fees to ChanceOL.com in accordance with the payment terms on the website, you become a Paid Supplier Member, then you may download the detail information of RFQs, submit quotations, contact buyers and do other operations. The VIP Paid Supplier Member (paid yearly or semiyearly) can also enjoy other services, such as "Recommended project", etc. Hereon we ask you to follow the requirements of RFQs to submit your quotations, By submitting your quotation, you agree to implement the transaction with the buyer in accordance with the quotation, at the same time you will accept all the purchase terms of this RFQ released on the website.
        3.3 Implement transaction obligations
        By submitting RFQ and quotation, communicating, awarding and confirming award, the buyer and supplier finally confirmed the award on the website. Any party which confirmed award on the website has the obligations to implement the transaction,except for the following special cases such as buyer’s modifying the description of the goods materially or clarifying any word inputting errors or your incapacity in confirming the other party’s identity after you submitting your quotation,you can not cancel your quotation and related promises.
        3.4 Paid Member terms
        Membership fees(include paid yearly or semiyearly) and the payment for RFQ per time are non-refundable. For the charge balance in your account on the website, it is refundable. If you do want us to do so, please send an email before 7 working days with your request to: service@chanceol.com, the website will deal with the refund for you.
        3.5 Extra expenses
        All extra expenses caused by using ChanceOL.com website or connecting to our company’s servers(including but not limited to any expenses on the related hardware, software, communication, internet service, etc.) will be paid by yourself.

        4. Limitation of Liability
        4.1 ChanceOL.com does not involve in Member-to-Member transactions.ChanceOL.com is just a place or a tool for buyers and suppliers to search and confirm the transaction object, or negotiate about projects and terms, or get information and services of related projects. You know that ChanceOL.com website can not control the quality, security and validity of products, or the authenticity and veracity on information, or the capability of both sides to implement all obligations of the business contract. The website also would not control whether both sides can implement their obligations in the business contract. So, in the event that you have a dispute with one or more Members, you have agreed to release us (and our agents and employees) from claims, demands and damages (actual, consequential and punitive) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the use of the ChanceOL.com Websites or such disputes.
        4.2 You clearly understand and agree that ChanceOL.com will not be liable for any damages caused by any of the following cases: (a)the use or inability to use the website; (b)any information or transaction got through the website and its services; (c) unauthorized access or modify by third parties to your materials and data.

        5. About your materials
        "Your materials" includes all the materials you submitted to ChanceOL.com or other members on any open information cases or by any email forms during you registering, creating RFQs, submitting quotations and communicating with other members, these materials include data, file, software, music, sound, picture, drawings, video or other materials. You will be liable for all these materials completely, and ChanceOL.com is only a passive channel which you release and publish "your materials" on.
        5.1 Register
        When you register on ChanceOL.com website, you must represent a corporation or other body corporate, you declare and ensure that you have the authority to make the entity to be bound by these terms of conditions. By you registering on ChanceOL.com, you agree: (a) you must submit the real, exact, full and current information of yours and your corporation in accordance with the requirements of the member register published on ChanceOL.com. (b) You must maintain and update the information in time, keep it with the real, exact, funn and current information. If you submit the information which does not accord with the above requirements, or ChanceOL.com has some logical reasons to discredit your information is false, ChanceOL.com reserves the right to suspend or terminate your membership and your data immediately, and forbid you using the website service in any way now and future.
        5.2 User name, Password and secrecy
        During the registering process, you need to select your User name and Password. You must be liable for the secrecy of your User name and Password by yourself, and you agree to be liable for all the actions that you take by using your User name and Password. You further agree: (a) As soon as you find that any person uses your User name and Password without your authorization, or any other thing which violates the secrecy rules, you will inform ChanceOL.com; and (b) you will ensure to log off the website with the correct steps after you using the website every time.ChanceOL.com can not and would not be liable for any damages caused by the reason that you do not follow these terms.
        5.3 Regarding the rules of your materials
        You agree that "your materials" and any goods you transact on ChanceOL.com
        a.do not contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items;
        b.do not relate to sale of products or services that infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity or privacy, or any other Third Party Rights;
        c.do not contain items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities;
        d.do not contain any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or otherwise harmful to minors;
        e.do not contain any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;
        f.you do not use the website services on excessively sending emails or any copies or extra information.
        g.(g) You would not use the website services to collect other person’s email address and other materials without other person’s agreement.
        5.4 Forbidden goods
        You will be not allowed to publish or purchase and sell the following goods on the website: (a) any goods which may makes ChanceOL.com to violate any related laws, rules of laws, regulations or statutes; or(b) any goods which ChanceOL.com considered as the forbidden goods or the unsuitable goods transacted on the website.

6. Use of Materials on ChanceOL.com Website
Unless otherwise specified, you may view and download the materials on the Website for your personal, informational, commercial and non-commercial purposes, you may not modify the materials on the Website in any way or reproduce or publicly display, perform, post, transmit, distribute or otherwise use them for any public or commercial purpose. ChanceOL.com reserves all rights to its copyrights, trademarks and other intellectual property.

7. Privacy protection
ChanceOL.com will use "your materials" in accordance with our "Privacy Policy".ALL the terms and conditions on "Privacy Policy" are belong to a part of this Agreement, hereby please read them carefully. Please note that once you disclose "your materials" on the website of your own accord, these materials may be got and used by any others.

8. Translation service on ChanceOL.com website
ChanceOL.com website provides Chinese and English services at the same time, we need to translate some public information submitted by both sides of transaction and some contents which the members require specially. ChanceOL.com will try its best to provide the professional and exact translation service to make the members using the website conveniently, but the website will not ensure the translation is "absolute correct" on its content, hereby all the translated contents are just for your information.ChanceOL.com will not be liable for any inconvenience and damages to you caused by any translation issues, omit, etc.

        9. Provide services by "AS IS" and "AS AVAILABLE" basis
        We shall do our best to continually improve ChanceOL.com website, and bring you with the better service and user experience. But it is a pity that we can not forecast any problems or other difficulties on any technologies at any moment. These problems and difficulties may lead to data lose or service interrupt. Therefore, you clearly understand and agree that you will be liable for the risks of the service use by yourself.ChanceOL.com will provide the services based on "AS IS" and "AS AVAILABLE".ChanceOL.com does not guarantee to you on the following contents: (a) the website services will meet your requirements; (b) the services would not be interrupted, the services are timely, safe and without any errors; (c)the results got by using the services will be exact and reliable; (d) the quality of any products, services, data or other materials which you purchased or got through the website services will meet your anticipation.
        Any material downloaded or otherwise obtained through the Site is done at you sole discretion and risk and you are solely responsible for any damage to your computer system or loss of data that may result from the download of any such material. No advice or information, whether oral or written, obtained by you from ChanceOL.com or through or from the Site shall create any warranty not expressly stated herein.

        10. System Protection
        10.1 System integrality
        Hereby you agree, you will not use any device, software or program to intervene or try to intervene the normal operations of ChanceOL.com or any current transaction on the website. You will not add any unreasonable or illegal large load onto the website.
        10.2 Feedback
        You can not take any actions which can damage the System integrality to the website, such as: you use the second user degree or the third party to make positive feedback for yourself; you use the second user degree or the third party to make negative feedback for other members; you make negative feedback to a member which do not implement some actions over the transaction obligations.

        11. Termination
        As a free charge member, you agree that ChanceOL.com may decide by its own right to terminate your service Password, account or your use on the website, and delete and throw away "your materials" which you submitted to the website by any reasons(including but not limited to ChanceOL.com thinking that you violated the Agreement in spirit, or doing something by the mode which violated the Agreement in spirit, or you did not login the website with your user name and password in the past 90days).
        As a Paid member, you agree that ChanceOL.com will implement the above action to terminate your services based on the reasonable suspicions and the case that you have been notified of by email.

12. Violate the terms and conditions
When ChanceOL.com finds that you violate the terms and conditions of this Agreement, the website may give warning to you at once, and will suspend or terminate your membership and delete any of your current projects information and other materials on ChanceOL.com website immediately.

13. Indemnify
In the event that you violate this Agreement or the other files belong to this Agreement, or you violate the laws, or do damages to the rights of any third party, you hereby agree to indemnify and save ChanceOL.com, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from any claims asserted by Third Party Rights claimants. You hereby further agree that ChanceOL.com is not responsible and shall have no liability to it.

14. Conform to laws
You must follow all the related laws, rules of laws, regulations or statutes when you use the ChanceOL.com services, or purchase and sell any goods, or provide any information to others on the website.

15. Without agential relationship
By accepting this Agreement, you just keep a relationship as an sole contractor with ChanceOL.com, This Agreement has no any meanings on making or creating the relationships of any agent, partner, joint venture, engaging or engaged, awarding concession or awarded concession.

16. Links to other websites
ChanceOL.com may provide certain links to other websites as a convenience to you. ChanceOL.com does not monitor nor control the content of any other website and assumes no responsibility or liability of any kind for any material or communications available at such websites. ChanceOL.com is not responsible for the content of any site that may be linked to from ChanceOL.com Websites.

17. Notices
Unless otherwise specified, any notices between ChanceOL.com and the members should be sent by email. Herein the address of ChanceOL.com is sevice@chanceol.com , your address of email will be the one which you submitted to ChanceOL.com when you registered to the website.

18. Force majeure
ChanceOL.com shall be not liable for an delay or failure or disruption of the content or services delivered through the Site resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

19. Transfer the Agreement
ChanceOL.com shall reserve the right to transfer this Agreement to a third party without your agreement.

20. Other provisions
If any provision herein is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

21. Litigation
This Agreement shall be governed by the laws of the People’s Republic of China. If you have any disputes with any parties caused by or related with this Agreement or ChanceOL.com services, you should hereby submit your litigation just to the Courts of Beijing, P.R. China.
